Terms of Service

1. Agreement to Terms

By accessing or using Profit Prime services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services Description

Profit Prime provides digital marketing, web design, AI automation, e-commerce development, mobile application development, business suite platforms, and related services. Specific deliverables, timelines, and pricing are defined in individual service agreements and proposals.

Our services may include AI-powered assistants and voice agents to help with scheduling, strategy consultations, and business guidance. These AI interactions are designed to improve your experience and provide efficient service delivery.

3. Payment Terms

Project-Based Services: Payment schedules are outlined in project proposals. Typically: 50% deposit upon project commencement, 25% at project midpoint, and 25% upon completion. Projects will not commence until the initial deposit is received.

Monthly Retainer Services: Billed at the beginning of each month. Services may be suspended if payment is more than 7 days overdue.

Late Payments: Invoices are due within 14 days unless otherwise specified. Late payments may incur a 2% monthly interest charge and may result in suspension of services.

4. Client Responsibilities

Clients are responsible for:

• Providing necessary content, images, and materials in a timely manner
• Providing feedback and approvals within agreed timelines
• Ensuring they have rights to use all provided materials
• Maintaining confidentiality of login credentials and admin access
• Backing up their data and content (unless covered under maintenance agreement)

5. Intellectual Property

Client Content: Clients retain all rights to content, logos, and materials they provide.

Deliverables: Upon full payment, clients receive ownership of final deliverables (websites, graphics, copy). Profit Prime retains rights to reusable code frameworks, templates, and proprietary systems.

Portfolio Use: Profit Prime reserves the right to display completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.

6. Project Timelines

Timeline estimates are provided in good faith but are not guaranteed. Delays caused by client feedback, content delivery, or third-party dependencies may extend project completion. We will communicate any anticipated delays promptly.

7. Revisions and Scope Changes

Each package includes a specified number of revision rounds. Requests beyond the agreed scope or revision limits may be subject to additional fees. Significant scope changes will require a new proposal and agreement.

8. Warranties and Disclaimers

We warrant that services will be performed professionally using industry best practices. However:

• We do not guarantee specific search engine rankings or marketing results
• We are not responsible for third-party services, plugins, or platforms
• Website performance depends on client's hosting environment
• Services are provided "as is" without warranty of uninterrupted or error-free operation

9. Limitation of Liability

Profit Prime's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption.

10. AI Voice Interactions and Call Recordings

By using our services, including phone consultations, booking appointments, or interacting with our AI voice agents, you acknowledge and consent to the following:

• Call Recording: Voice calls with our team or AI agents may be recorded for quality assurance, training, and service improvement purposes
• AI Assistance: Our AI voice agents are used to assist with strategy discussions, scheduling, and business guidance. They are designed to supplement, not replace, human expertise
• Data Usage: Recordings and conversation transcripts may be used to improve AI performance and personalize your experience
• Consent: By continuing a call after being informed of recording, you consent to the recording and processing of your voice data
• Accuracy: While our AI systems are advanced, they may occasionally make errors. Important decisions should be confirmed with human team members
• Opt-Out: You may request human-only interactions at any time by contacting us directly

11. Confidentiality

We maintain strict confidentiality of all client information, business data, proprietary materials, and conversation recordings. We will not disclose confidential information to third parties without client consent, except as required by law or as necessary to provide services (e.g., AI processing partners with strict confidentiality agreements).

12. Termination

By Client: Clients may terminate projects with 14 days written notice. Client remains responsible for payment for work completed to date.

By Profit Prime: We may terminate services if client breaches terms, provides false information, or engages in abusive behavior. Monthly retainers require 30 days notice for cancellation.

Effect of Termination: Upon termination, client will receive completed work to date upon settlement of outstanding invoices.

13. Third-Party Services

Our services may integrate third-party platforms, tools, and services (hosting, payment processors, email services, AI processing services, etc.). Client is responsible for compliance with third-party terms and any associated fees. AI voice processing may utilize secure third-party AI platforms with appropriate data protection agreements in place.

14. Governing Law

These terms are governed by the laws of the Netherlands. Disputes will be resolved through good-faith negotiation or, if necessary, through courts in the Netherlands. For clients in UAE or Switzerland, local consumer protection laws may apply.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of services after changes constitutes acceptance of modified terms.
